1. Introduction

Welcome to SOAPNoteAPI. This service is owned and operated by Modi Labs LLC. By accessing and using our API, you understand and agree to accept and adhere to the following terms and conditions.

2. Responsible Use and Conduct

By using SOAPNoteAPI, you agree to use these resources only for the purposes intended as permitted by the terms of this Agreement, and in a manner that abides by all applicable laws. Any violation may result in the termination of your access to the API.

3. Liability Limitations

SOAPNOTEAPI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OF SERVICE OR YOUR USE OF THE SERVICE, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, PROFITS, OR BUSINESS INTERRUPTION. In no event shall SOAPNoteAPI, its officers, directors, employees, or agents be liable for any indirect, punitive, special, incidental, or consequential damages arising out of or in any way connected with the use or inability to use the Service.

4. Changes and Termination of Services

SOAPNoteAPI reserves the right to modify or discontinue the API at any time. Continued use of the Service following such changes constitutes your acceptance of the changes.

5. Use of Generated Content

SOAPNoteAPI provides an API for generating SOAP notes. However, the ultimate responsibility for the content of the documentation lies with the user. We are not liable for any inaccuracies, errors, or omissions in the notes generated. Users should use their professional judgment when using these notes in their work.

6. Use of AI Models

Our service uses AI models to assist in generating content. SOAPNoteAPI is not responsible or liable for the content generated through these models.

7. Collection of Information

We may collect personal information when you use our service or contact us. We may also collect non-personal information, such as your IP address, browser type, and usage data when you access the API.

8. Payment Processing

We use a third-party service for payment processing. We do not store or collect your payment card details. That information is provided directly to our third-party payment processors whose use of your personal information is governed by their Privacy Policy.

9. API Access, Payments, and Refunds

Access to SOAPNoteAPI requires an API key, which is provided upon approval of your use case. Payment for API usage is required and is non-refundable. Once API access is purchased, no refunds will be provided, even if the user does not utilize all the allocated requests.

We offer different pricing tiers to suit various practice sizes and needs. Details of our current pricing plans can be found on our pricing page. Payment for API usage is required at the beginning of each billing cycle. Once API access is purchased, no refunds will be provided for the current billing cycle, even if the user does not utilize all the allocated requests or features.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOAPNOTEAPI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Medical Disclaimer

The Service, including any SOAP Note or related content, is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of qualified health providers with any questions you may have regarding a medical condition.

12. Indemnification

You agree to indemnify and hold harmless SOAPNoteAPI, its affiliates, officers, directors, employees, agents, and licensors from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of this disclaimer or any activity related to your use of the Service.

13. Governing Law

This disclaimer shall be governed by and construed in accordance with the laws of New Jersey, without regard to its conflict of law principles.

14. Fair Usage Policy

API usage is subject to fair use. Misuse of the API, including but not limited to, excessive requests, automated note generation, account sharing, or any use that imposes an unreasonable load on the service's infrastructure, is prohibited. SOAPNoteAPI reserves the right to terminate API access immediately without refund if misuse is detected.

15. HIPAA Compliance

SOAPNoteAPI maintains compliance with HIPAA standards. We ensure that all PHI is safeguarded according to HIPAA guidelines. Users are responsible for ensuring that their use of our services complies with HIPAA, including obtaining necessary patient consents before sharing PHI with SOAPNoteAPI.

We offer a Business Associate Agreement (BAA) to users who qualify as covered entities under HIPAA. This BAA outlines the responsibilities of both parties to ensure compliance with HIPAA regulations. Users can request a BAA by contacting us at hello@soapnoteapi.com.

16. API Features

SOAPNoteAPI offers features for generating SOAP notes from shorthand clinical notes or audio input. By using these features, you agree to the following additional terms:

  • Privacy: All data will be automatically deleted from our systems within a specified timeframe after the SOAP Note is generated. Users must ensure that they have the necessary consent before submitting any patient data.
  • Usage: Users are responsible for the accuracy and content of the input data. The generated SOAP notes should be reviewed and edited as necessary to ensure they meet professional standards.
  • Liability: SOAPNoteAPI is not liable for any inaccuracies or errors in the generated notes. Users should use their professional judgment when using these notes in their practice.
  • Data Security: SOAPNoteAPI ensures that all data and generated notes are handled in compliance with HIPAA standards to maintain the confidentiality and security of patient information.

17. Subscription and Cancellation

Subscriptions to SOAPNoteAPI are billed on a monthly basis. You may cancel your subscription at any time. Upon cancellation, you will retain access to the API and its features until the end of your current billing cycle. No refunds will be issued for partial months of service or unused features.

To cancel your subscription, please contact our support team at hello@soapnoteapi.com. We will process your cancellation request and confirm the date until which your service will remain active.

18. Changes to Pricing and Features

SOAPNoteAPI reserves the right to modify, change, or update our pricing structure and feature offerings at any time. We will provide notice of any significant changes to pricing or features at least 30 days in advance through email or prominent notice on our website.

For users on custom plans, any changes will be communicated directly and may be subject to the terms of individual agreements.

19. Service Level Agreement and Liability

SOAPNoteAPI strives to provide a high level of service availability and reliability. We will make our best efforts to maintain a high Service Level Agreement (SLA). However, despite our best efforts, service disruptions may occur due to various factors beyond our control.

In the event of any service outage or disruption, SOAPNoteAPI shall not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the service.

We recommend that users implement appropriate backup and contingency plans to mitigate potential impacts of service disruptions on their business operations.
