These Terms govern your access to and use of the SOAPNoteAPI platform. Please read them carefully before using the Service.

Introduction & Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the SOAPNoteAPI platform, including the REST API, audio processing endpoints, developer dashboard, and all related documentation (collectively, the "Service"), provided by Modi Labs LLC ("Company," "we," "our," or "us"), a corporation incorporated in the State of New Jersey.
By creating an account, obtaining an API key, or otherwise accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" or "your" refer to that entity.
If you do not agree to these Terms in their entirety, you may not access or use the Service.
These Terms were last updated on March 19, 2026. Please review them carefully and check back periodically, as we may update them from time to time.
Description of Service
SOAPNoteAPI is an application programming interface (API) platform designed to assist healthcare developers and software vendors in generating structured clinical documentation, specifically SOAP (Subjective, Objective, Assessment, Plan) notes and related formats, from text transcripts or audio recordings provided by the Customer.
The Service uses artificial intelligence models, including large language models (LLMs) provided by third-party AI providers, to analyze input content and produce structured clinical note output. The Service currently supports 18 or more medical specialties. Specific capabilities available to a given Customer depend on the subscription tier or usage-based plan selected.
Current core capabilities include:
- Text-to-SOAP: Structured note generation from text transcripts via REST API
- Audio-to-SOAP: Automatic speech recognition (transcription) followed by structured note generation from uploaded audio files
- Streaming endpoints: Real-time streaming of note generation output via Server-Sent Events (SSE)
- Multi-specialty support: Specialty-specific templates and formatting for primary care, psychiatry, therapy, and other disciplines
- Developer dashboard: Account management, API key management, usage reporting, and billing at app.soapnoteapi.com
We reserve the right to modify, discontinue, or add to the Service at any time. We will provide reasonable notice of material changes where practicable.
Account Registration & API Keys
To access the Service, you must create an account at app.soapnoteapi.com and obtain an API key. You agree to provide accurate, complete, and current information during registration and to keep that information up to date.
Upon registration, you will receive a $10.00 USD signup credit applied to your account, which may be used toward usage-based charges. No credit card is required to create a free account or to use your initial credits.
You are responsible for maintaining the confidentiality and security of your API keys and account credentials. API keys grant programmatic access to the Service and must be treated as sensitive secrets. You must not share your API keys publicly, commit them to version control repositories, or transmit them in any insecure manner.
You are solely responsible for all activity that occurs under your account or through your API keys, whether or not you authorized it. If you suspect unauthorized use of your account or API key, you must notify us immediately at support@soapnoteapi.com and rotate your API key from the dashboard without delay.
We reserve the right to refuse registration, suspend, or terminate accounts at our discretion, particularly in cases of suspected abuse, violation of these Terms, or non-payment.
Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, local, and international laws and regulations, including but not limited to HIPAA, state healthcare privacy laws, and applicable professional licensing requirements.
You agree that you will not use the Service to:
- Generate clinical notes or other documentation that is submitted to payers, insurers, or government healthcare programs without appropriate licensed clinician review and sign-off
- Engage in fraudulent billing, upcoding, unbundling, or any conduct that violates federal or state fraud and abuse laws, including the False Claims Act
- Process data in violation of HIPAA or any other applicable privacy regulation, or without proper patient authorization where required
- Submit content that you do not have the right to process, including protected health information belonging to covered entities for which you have not obtained a Business Associate Agreement with us
- Attempt to reverse-engineer, extract, or reproduce the underlying AI models or prompt structures used by the Service
- Use the Service to train, fine-tune, or benchmark competing AI models or services
- Probe, scan, or test the security of the Service or its infrastructure without our prior written authorization
- Circumvent rate limits, authentication, or other technical controls of the Service
- Resell or sublicense access to the API to third parties without our prior written consent, except as a component integrated within your own software product
- Use the Service in any application where AI-generated output could directly endanger human life without a human-in-the-loop review process (see Section 5)
We reserve the right to investigate any suspected violation of this policy, to suspend or terminate access to the Service, and to cooperate with law enforcement authorities where required.
AI-Generated Content Disclaimer
Important: Read this section carefully. It describes material limitations of the Service and allocates significant responsibility to you as the Customer.
The Service uses artificial intelligence, including large language models, to generate clinical documentation from content you provide. AI-generated content is produced automatically and is subject to inherent limitations that cannot be fully eliminated.
AI-generated notes are not medical advice and are not a substitute for licensed clinical judgment.
We do not guarantee, represent, or warrant the accuracy, completeness, correctness, suitability, or clinical appropriateness of any note, transcript, summary, or other content generated by the Service. AI models can and do produce errors, omissions, hallucinations, and clinically inaccurate outputs. These failures can occur even on inputs that appear routine or well-structured.
You, the Customer, bear sole and complete responsibility for reviewing, validating, and approving all AI-generated content before it is used, stored, transmitted, billed against, or incorporated into any clinical record.
Specifically, and without limitation:
- All AI-generated notes must be reviewed by a licensed healthcare professional before being finalized or used in any clinical context
- You must not submit AI-generated notes to payers, government programs, insurers, or other third parties without licensed clinician review and attestation
- You are responsible for implementing appropriate review workflows within your application or platform to ensure that AI-generated content is not used unreviewed
- The Company bears no liability for clinical decisions made in reliance on AI-generated output
- The Company bears no liability for errors, omissions, or hallucinations in AI-generated output, regardless of the mechanism of failure
Nothing in the Service constitutes the practice of medicine, nursing, pharmacy, or any other licensed healthcare profession. The Service is a software tool designed to assist trained professionals in documentation workflows — it is not designed or intended to replace clinical expertise.
By using the Service, you acknowledge that you have read and understood this disclaimer, that you have appropriate human review processes in place, and that you accept full responsibility for the clinical accuracy and completeness of all documentation generated using the Service.
HIPAA Compliance & Business Associate Agreement
Modi Labs LLC is designed and operated with HIPAA compliance as a core principle. We implement administrative, physical, and technical safeguards appropriate to the nature of Protected Health Information (PHI) processed through the Service.
If you are a Covered Entity or Business Associate as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations, and you intend to use the Service in connection with PHI, you are required to execute a Business Associate Agreement (BAA) with Modi Labs LLC before submitting any PHI through the Service.
A standard BAA is included with both the Growing Practice and Custom subscription tiers at no additional cost. To obtain a BAA, contact us at support@soapnoteapi.com. We will provide our standard BAA form for review and execution.
You represent and warrant that, prior to submitting any PHI through the Service, you have executed a valid BAA with us. Submitting PHI without a signed BAA in place is a material breach of these Terms and may result in immediate suspension of your account.
You remain solely responsible for ensuring that your use of the Service complies with all applicable HIPAA provisions, including the Privacy Rule, Security Rule, and Breach Notification Rule. Our HIPAA compliance obligations are limited to those set forth in the executed BAA.
If you use the Service in a sandbox or test environment and do not submit real PHI, a BAA is not required. You must not submit real patient data through a test API key or in any environment not covered by a signed BAA.
Data Handling
This section describes how we handle the data you submit to the Service. For broader information about how we collect and use personal information, please review our Privacy Policy at soapnoteapi.com/privacy.
Text Transcripts
When you submit text transcripts to the Service, that content is processed by our AI pipeline to generate structured clinical notes. Transcripts are transmitted over encrypted connections (TLS) and processed in our AWS-hosted infrastructure. Transcript content is associated with your account for audit and support purposes and is retained according to your account's configured data retention settings.
Audio Recordings
When you submit audio files to the Audio-to-SOAP endpoint, the audio is uploaded to secure temporary storage, transcribed using automatic speech recognition, and then processed by the note generation pipeline. Audio files are deleted from our systems after transcription and processing are complete. We do not retain audio recordings beyond the processing session.
Generated Notes
AI-generated notes are returned to you via the API response and may be stored in association with your account for audit log purposes depending on your plan tier. The content of generated notes is not used to train or fine-tune AI models unless you explicitly opt in to a data-sharing program, and no such program currently exists.
Third-Party AI Processing
The Service uses third-party AI providers, including OpenAI, to perform language model inference. Input data (transcripts) is transmitted to these providers as part of the processing pipeline. We maintain Data Processing Agreements and appropriate contractual safeguards with our AI providers. By using the Service, you authorize this processing.
Data Retention
Default data retention periods are configured per account tier. Customers may request deletion of their data by contacting support@soapnoteapi.com. We will fulfill verified deletion requests within 30 days, subject to any legal retention obligations we may have. Audio recordings are deleted immediately after processing regardless of tier.
Data Location
All Service infrastructure, including data storage, is hosted on Amazon Web Services (AWS) within the United States. Data is not transferred outside of the United States except as required to perform AI inference via third-party providers, which are also U.S.-based entities.
Payment Terms
Access to the Service beyond the free tier is subject to payment. We offer two billing models: subscription-based plans and usage-based (pay-as-you-go) billing. Current pricing is listed at soapnoteapi.com/pricing.
Usage-Based Billing
Usage-based charges are metered at rates of $0.55 per SOAP note generated from text and $1.40 per audio hour for Audio-to-SOAP processing. Charges are calculated based on actual usage recorded by our systems. You may fund your account by adding a prepaid balance through the dashboard.
Subscription Plans
Subscription plans (currently the Growing Practice plan at $399 per month and the Custom plan starting at $799 per month) are billed in advance on a monthly cycle. Subscription fees are charged to your payment method on file on the billing date each month. If a subscription renewal payment fails, access to subscription-tier features may be suspended until payment is resolved.
Overage
If your usage exceeds the included volume on a subscription plan, overage charges are billed at the usage-based rates listed above and will appear on your next billing statement.
Free Signup Credit
New accounts receive a $10.00 signup credit. This credit is applied automatically and may be used toward usage-based charges. Credits are non-transferable and have no cash value. We reserve the right to modify or discontinue the signup credit program at any time.
Taxes
Prices listed do not include applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service, excluding taxes on our net income.
No Refunds
All charges are final and non-refundable, except where required by applicable law. We do not provide refunds for partial periods of subscription use, unused prepaid balance, or usage charges for API calls that were processed successfully, regardless of whether you were satisfied with the output. If you believe you have been charged in error, contact support@soapnoteapi.com within 30 days of the charge.
Pricing Changes
We reserve the right to change pricing at any time. For existing subscription customers, price changes will take effect at the start of the next billing cycle following at least 30 days' advance notice by email.
Intellectual Property
Your Data
You retain all ownership rights in the content you submit to the Service, including transcripts, audio recordings, and any other input data ("Customer Data"). You grant Modi Labs LLC a limited, non-exclusive, royalty-free license to process, transmit, and store Customer Data solely as necessary to provide the Service to you. We do not claim any ownership over your Customer Data or the clinical notes generated from it.
Generated Output
The clinical notes and other structured content generated by the Service from your inputs are considered output that belongs to you, subject to any limitations on AI-generated content under applicable law. We do not assert any copyright or ownership claim over generated output.
Our Intellectual Property
The Service, including the API, underlying AI systems, proprietary prompt engineering, software, documentation, dashboard, brand, and all related intellectual property, is owned by Modi Labs LLC and protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. The limited license granted to you is to access and use the Service solely as described in these Terms.
Feedback
If you provide us with suggestions, feedback, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without restriction or compensation to you.
Limitation of Liability
Please read this section carefully. It limits our liability to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOAPNOTEAI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR:
- Any clinical errors, omissions, hallucinations, or inaccuracies in AI-generated notes or transcriptions
- Any clinical decisions made in reliance on AI-generated output
- Any adverse patient outcomes, malpractice claims, regulatory penalties, or legal liability arising from your use of the Service or from AI-generated content
- Any payer audits, billing errors, or compliance violations arising from documentation generated by the Service
- Any unauthorized access to your account or API keys resulting from your failure to maintain their security
- Any service interruptions, data loss, or errors arising from third-party infrastructure, including AWS or AI providers
- Any loss or damage arising from your failure to implement appropriate human review of AI-generated content
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Modi Labs LLC and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or any output generated by the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Any clinical documentation you generate, use, submit for billing, or provide to patients using the Service
- Your failure to maintain appropriate human review processes for AI-generated content
- Any claim by a patient, insurer, payer, regulator, or other third party arising from your use of the Service
- Any breach of your representations or warranties under these Terms
- Any unauthorized use of your account or API keys
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.
Fair Usage Policy
The Service is provided for use in legitimate clinical documentation workflows. We maintain a fair usage policy to ensure the quality and availability of the Service for all customers.
The following behaviors are considered fair usage violations and may result in rate limiting, temporary suspension, or termination of your account:
- Submitting automated requests at a rate that materially exceeds normal clinical documentation volume for your stated use case
- Attempting to use the Service for bulk data extraction, web scraping, or purposes unrelated to clinical documentation generation
- Operating multiple accounts to circumvent rate limits or avoid payment
- Submitting synthetic, test, or artificially generated content at scale on a production billing plan
- Using the Service in a way that materially degrades availability for other customers
Subscription plans include a stated monthly volume. If your usage pattern is inconsistent with the intended use case for your plan tier, we may contact you to discuss an appropriate plan upgrade before restricting access.
We reserve the right to establish or adjust rate limits, concurrent request limits, and other technical controls at our discretion to maintain service quality.
Termination
Termination by You
You may stop using the Service and close your account at any time through the dashboard or by contacting support@soapnoteapi.com. Closing your account does not entitle you to a refund of any subscription fees paid or prepaid balance remaining, except where required by applicable law.
Termination by Us
We may suspend or terminate your access to the Service immediately, with or without notice, for any of the following reasons:
- Material breach of these Terms, including violations of the Acceptable Use Policy
- Submission of PHI without a signed BAA in place
- Non-payment of amounts owed
- Conduct that we reasonably believe exposes us, other customers, or third parties to legal liability
- Direction by a law enforcement authority or regulatory body
- Our decision to discontinue the Service
Effect of Termination
Upon termination, your right to access and use the Service ceases immediately. All API keys associated with your account will be deactivated. Any outstanding charges become immediately due and payable. Sections of these Terms that by their nature should survive termination — including Sections 5, 9, 10, 11, and 15 — shall survive.
Following termination, we will handle any remaining Customer Data in accordance with our Privacy Policy and applicable law. You may request a data export before closing your account by contacting support@soapnoteapi.com.
Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email at the address associated with your account and by posting the updated Terms at soapnoteapi.com/terms, with the effective date updated accordingly.
For non-material changes (such as corrections to typographical errors, formatting changes, or clarifications that do not affect your rights), we may update the Terms without advance notice.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account before the effective date.
We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when changes were most recently made.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions.
Any legal action or proceeding arising out of or relating to these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction and venue of such courts. You waive any objection to jurisdiction or venue in such courts.
Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or stop the unauthorized use of our intellectual property or breaches of these Terms that would cause us irreparable harm.
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, severed from the Terms.
These Terms, together with our Privacy Policy and any executed Business Associate Agreement, constitute the entire agreement between you and Modi Labs LLC with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
